Terms of Service

The plain-language version is on the left of every clause. The binding text is below.

ArchiBoost AI – Terms of Service

Effective Date: September 4, 2026

Welcome to ArchiBoost AI, a service provided by ArchiBoost (“we,” “us,” or “our”). ArchiBoost AI is an AI-powered tool designed to help architects and professionals in the AEC (Architecture, Engineering, and Construction) industry parse and understand building codes and related information. These Terms of Service (“Terms”) govern your access to and use of the ArchiBoost AI website, application, and services (collectively, the “Service”). Please read these Terms carefully. By creating an account or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy (which outlines how we collect, use, and protect your data). If you do not agree with any part of these Terms or the Privacy Policy, you must not use ArchiBoost AI.

1. Acceptance of Terms

By accessing or using ArchiBoost AI, you confirm that you have read, understood, and agree to these Terms. These Terms apply to all users of the Service, whether you are on a free trial, a free tier, or a paid subscription. If you are using the Service on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, in which case “you” refers to the organization. Do not use the Service if you are not able to agree to these Terms.

2. Accounts and Eligibility

To use ArchiBoost AI, you may need to create an account with a username and password and provide certain information:

  • Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Service. The Service is intended for professionals and is currently offered to users in the United States only. We make no representations that the Service is appropriate or available for use in other locations.
  • Account Information: You agree to provide accurate, current, and complete information during registration (such as your name, email address, and any other required details) and to keep this information up-to-date. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.
  • No Sharing of Accounts: Each user must have their own account. Sharing login credentials with others (including colleagues) is not permitted. If multiple people in your organization need to use ArchiBoost AI, each should have a separate user account (we offer team or enterprise plans to accommodate multiple users). We reserve the right to suspend or terminate accounts that are being used by multiple individuals in violation of this policy.
  • Account Security: You are responsible for keeping your password secure. If you suspect any unauthorized use of or access to your account, you must notify us immediately. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.
  • Account Termination: You may close your account at any time. We reserve the right to suspend or terminate your account (with or without notice) if you violate these Terms or if we determine it’s necessary to protect the security, integrity, or reputation of our Service.

3. Privacy and Data Collection

Your privacy is very important to us. When you use ArchiBoost AI, we collect certain personal data from you to provide and improve the Service:

  • Information We Collect: During account registration and use of the Service, we may collect information such as your name, email address, company/organization name, and usage data (for example, queries you enter into ArchiBoost AI, features you use, and files you upload). If you subscribe to a paid plan, we (or our payment processor) will collect payment information (such as credit card details and billing address).
  • Use of Data: We use your data to operate and personalize the Service (for example, to remember your preferences and to provide relevant code information), to communicate with you about your account or updates, and to improve our product. We do not share your personal data with third parties for their own marketing or advertising purposes. We will never sell your data. We only share data with third-party service providers as needed to operate the Service (for example, cloud hosting providers or payment processors), and only under strict confidentiality and security obligations.
  • User Uploaded Content: If you upload documents or files, such as company documents, plans, or code references, those files and their contents remain yours. We store and process them to provide the Service to you and your authorized team members. We will not use your private uploaded content for any purpose other than providing the Service to you. We will not share or disclose that content outside your organization except at your direction, as necessary for service providers to perform tasks on our behalf under contractual confidentiality and security obligations, or as required by law or valid legal process. See Section 5 (User Content and Uploads) and our Privacy Policy for further details.
  • Security Measures: We implement industry-standard security practices to protect your data. This includes encryption for data in transit and at rest, secure server infrastructure, and regular security assessments. However, no method of transmission or storage is 100% secure, so while we strive to protect your data, we cannot guarantee absolute security. You are responsible for using a strong password and protecting it to help keep your account secure.
  • Privacy Policy: Our full Privacy Policy provides more detail on what data we collect and how we use and protect it. By using the Service, you also agree to the terms of our Privacy Policy (which is incorporated herein by reference). If you have questions about how we handle data, please contact us at our support email provided below.

4. Description of Service and Permitted Use

ArchiBoost AI Service: ArchiBoost AI is a software-as-a-service platform that uses artificial intelligence to assist with understanding building codes and related regulations. The Service allows users to input questions or text and receive AI-generated responses that attempt to interpret relevant building code provisions, highlight requirements, and provide explanations in plain language. We aim to help architects, engineers, and other professionals save time in researching code compliance.

By using the Service, you acknowledge and agree to the following conditions of use:

  • Informational Tool – No Professional Advice: ArchiBoost AI is provided as an informational tool only. It does not constitute official code advice, legal advice, architectural or engineering advice, or professional consulting. The Service may help you navigate code language, but it is not a substitute for reviewing the actual building codes, regulations, or consulting with licensed professionals or authorities. Always verify important information in the official code texts or with a qualified professional.
  • AI Limitations: The core of ArchiBoost AI is an artificial intelligence model. AI technology has inherent limitations, and the AI may occasionally produce incorrect, incomplete, or misleading information – this phenomenon is sometimes referred to as a “hallucination” in AI outputs. While we endeavor to provide accurate and up-to-date information, we do not guarantee the accuracy, reliability, or completeness of any answer or information provided by the AI. The building codes themselves can be complex and subject to interpretation; the AI’s responses are based on patterns and information it has been trained on, and it might misunderstand your question or the code, or might not reflect recent changes in law. Use the answers cautiously and always double-check critical information against official sources. Any reliance you place on information from ArchiBoost AI is at your own risk.
  • No Warranty of Code Accuracy or Completeness: Building codes are frequently updated and may have local amendments. ArchiBoost AI attempts to incorporate public code information, but we do not warrant that the code references or summaries provided are completely up-to-date or free of errors. There may be additional applicable codes or interpretations for your specific situation that ArchiBoost AI does not cover. Always conduct a comprehensive review and consult building officials for confirmation if you are making decisions that rely on code compliance.
  • Use within the United States: ArchiBoost AI currently focuses on U.S. building codes and is intended for use in the United States. If you access or use the Service outside the U.S., be aware that the information provided may not apply to other countries or jurisdictions. We make no representation that the Service or these Terms comply with laws of any country outside the United States. If you are using it elsewhere, you are solely responsible for compliance with local laws.
  • Changes and Updates: We are continually improving ArchiBoost AI and may add, remove, or modify features. We reserve the right to update the Service (including the AI models, features, and user interface) at our discretion. We will try to inform users of major changes (for example, significant new features or deprecating old features) via our website or email. New features may be subject to additional terms or conditions, which we will provide when those features launch. Your use of any new or modified features constitutes acceptance of any additional terms applicable to those features. Changes remain subject to any applicable notice requirements and other commitments in a separate written agreement signed by you and ArchiBoost.

5. User Content and Uploads

ArchiBoost AI may allow you to upload, submit, or store content such as documents, text, images, or other data (“User Content”) to be processed by the Service (for example, to customize the AI or make the content searchable for you and your team). This section explains your rights and responsibilities regarding User Content:

  • Ownership: You retain all rights and ownership of your User Content. We do not claim any ownership over the content you upload to your ArchiBoost AI account. These Terms do not grant us any license to your content except for the limited rights needed to provide the Service, as explained below.
  • License to ArchiBoost: By uploading or submitting User Content to the Service, you grant ArchiBoost a limited, worldwide, non-exclusive, royalty-free license to use, host, copy, and process your content solely for the purpose of providing the Service to you. This means we may process your documents to create searchable indexes or embeddings, store backups of your data on our secure servers, and display the content to you and any users you authorize (for example, members of your company team account) when you use the Service. We will not use your User Content for marketing or to train AI models, and we require that our AI providers do not use your User Content to train their models.
  • Privacy of User Content: Unless you choose to share it, your User Content is considered private and confidential. We will not disclose your uploaded content to any other user or third party except (a) at your direction (for example, if you choose to share it with another user or make it public), (b) as necessary for our service providers to perform tasks on our behalf (under strict obligations of confidentiality), or (c) if required by law or valid legal process (and in such cases, we will, where lawful, attempt to notify you). We understand that your company files may be sensitive, and we treat them with a high level of security and confidentiality.
  • User Responsibilities for Content: You are solely responsible for the User Content you upload or process with ArchiBoost AI. By uploading content, you represent and warrant that: (a) you have all necessary rights, licenses, or permissions to use and submit that content to the Service (for example, do not upload copyrighted material (such as building code texts or standards) or confidential documents unless you have the right or consent to use them); (b) your content, and our use of it as permitted by you, will not violate any law or infringe any third-party rights (including intellectual property rights and privacy rights); and (c) your content does not contain malicious code, viruses, or any harmful material that could damage our systems or other users.
  • Prohibited Content: You agree not to use the Service to store or transmit any content that is unlawful, defamatory, harassing, obscene, or otherwise objectionable. We do not routinely monitor User Content, but if we become aware of content that we believe violates the law or these Terms, we reserve the right to remove or disable access to that content and, if necessary, report it to appropriate authorities.
  • No Responsibility for User Content: We are not responsible for any User Content uploaded by you or any other user, nor are we liable for any loss or damage that results from your own content. You use and rely on any content within ArchiBoost AI at your own risk.
  • Retention and Deletion: You can delete your uploaded content from the Service at any time using the provided features (unless such feature is in development; in that case, you may request deletion via support). If you delete content or if your account is terminated, we will make commercially reasonable efforts to remove the content from our active systems. However, you acknowledge that removed content may persist in backup copies for a limited period (though it will not be available to others). We will also comply with any legal obligations regarding data retention or deletion, such as honoring your rights under applicable data protection laws.

6. Acceptable Use Policy

We want ArchiBoost AI to be a helpful and secure service for all users. By using the Service, you agree to use it responsibly and legally. You agree that you will NOT:

  • Violate Laws or Regulations: Use ArchiBoost AI for any unlawful purpose or in violation of any local, state, national, or international law or regulation. This includes, for example, using the Service to assist in any fraudulent or illegal activity, or to violate building codes intentionally.
  • Misuse the Service: Engage in any activity that harms or impairs the functionality of the Service or access to the Service by others. Prohibited activities include introducing viruses, worms, or other malicious code; making unauthorized automated requests, scraping data without authorization, or placing excessive demands on our servers; attempting to hack, penetrate, or disrupt our security or authentication measures; or attempting to gain unauthorized access to the Service, related systems, passwords, or accounts. This restriction does not prohibit API use or automated workflows expressly approved by ArchiBoost in writing. Approved use remains subject to the technical, security, and usage limitations agreed in writing by the parties. Nothing in these Terms obligates ArchiBoost to provide an API or develop a particular integration.
  • Reverse Engineering and Misappropriation: You will not attempt to reverse-engineer, extract the source code of, or create derivative works from the ArchiBoost AI software, models, or any component of our Service, except to the extent allowed by applicable law (and then only after providing us with prior written notice). Similarly, you agree not to misuse the AI in a way to create a competing service or to copy any of our content or databases.
  • Circumvent Restrictions: You will not attempt to circumvent any usage limits, tier restrictions, or security measures we have put in place. For example, if you are on a free trial or free tier with certain limits, you agree not to create multiple accounts or use other tricks to bypass those limits. If certain features are available only to paid users, you will not try to access those features without a valid subscription.
  • Infringe Rights: You will not use the Service to upload, post, share, or transmit any content that infringes or violates the intellectual property rights or any other rights of anyone else. This includes not using ArchiBoost AI to assist in plagiarizing content or to distribute copyrighted text (like building code sections) beyond what is permitted by law.
  • Harass or Harm: You will not use the Service to harass, threaten, abuse, or harm others, or to create content that is defamatory or discriminatory. While ArchiBoost AI is a code analysis tool (not a social platform), this includes refraining from asking the AI to produce content that is hateful or harmful towards any individual or group.
  • Impersonation and Fraud: You will not impersonate any person or entity, or misrepresent your affiliation with a person or entity when using the Service. You will not use ArchiBoost AI to generate fraudulent documents or information intended to deceive others.
  • Compliance with Third-Party Terms: If our Service integrates with any third-party platforms or tools in the future (for example, if we provide a plugin for Autodesk Revit or other software), you agree to abide by all applicable terms of those third-party services. Our integration (when available) will not excuse you from any obligations you have under the third party’s own terms of use.

Consequences: Violation of this Acceptable Use Policy can result in suspension or termination of your account, and in serious cases, we may report you to law enforcement or pursue legal action. We reserve the right to investigate any usage of the Service that we suspect may violate any of the above or any other part of these Terms.

7. Subscription Plans, Fees, and Payments

ArchiBoost AI offers both free access (or trial access) and paid subscription plans, including usage-based pricing for eligible users and organizations. This section explains how our plans and payments work, including our refund policy:

  • Free Tier and Trials: We may offer a free tier with limited features or usage limits, and/or a time-limited free trial for new users to explore the full capabilities of ArchiBoost AI. Details of any current free tier or trial (such as duration of trial or feature limitations) will be provided on our website or during sign-up. Once a trial period ends, continued use of the Service (beyond any free tier limits) will require you to subscribe to a paid plan. We will notify you when your trial is ending and provide instructions for choosing a paid plan.
  • Paid Subscriptions: ArchiBoost AI’s core offerings beyond the free tier are available through subscription plans (for example, monthly or annual plans, or per-seat enterprise licenses). When you subscribe, you agree to pay the fees specified for your chosen plan. Prices and features for plans will be indicated on our website or in the order process. All fees are in U.S. Dollars (USD) unless stated otherwise, and are exclusive of taxes (sales, use, VAT, etc.), which may be added as applicable based on your billing address.
  • Usage-Based Pricing: Certain users and organizations may be enrolled in, or may opt into, a usage-based pricing plan. Under this model, your charges are calculated based on your actual consumption of the Service during a billing period (for example, number of queries processed, documents analyzed, or other measurable units of use as specified in your plan). If you or your organization are on a usage-based plan, the following terms apply:
    • Monthly Billing Cycle: Usage-based charges are calculated at the end of each calendar month and billed to your payment method on file at that time. You authorize us (or our payment processor) to charge the amount owed for the preceding month's usage.
    • Usage Tracking: We maintain records of your usage for billing purposes. You may be able to monitor your current usage through your account dashboard. Usage calculations are based on our records, which are considered accurate and binding absent a demonstrable error.
    • No Rollover: Unless otherwise stated in your plan, unused consumption in a given month does not carry forward to subsequent billing periods.
    • Overage and Limits: If your plan includes a usage threshold or cap, we will notify you when you approach that limit. If you exceed any stated limit, additional charges may apply at the overage rates specified for your plan, or we may temporarily restrict further usage until the next billing cycle. We will make reasonable efforts to notify you before overage charges accrue.
    • Billing Disputes: If you believe your usage-based invoice contains an error, you must notify us within thirty (30) days of the invoice date. We will investigate and, if an error is confirmed, issue a credit or adjustment on a subsequent invoice.
  • Billing and Renewal: By starting a paid subscription, you authorize us (or our payment processor) to charge your provided payment method for the initial subscription term and any recurring fees for renewals. Subscriptions renew automatically at the end of each billing cycle (e.g., your plan will renew monthly or yearly) unless you cancel before the next renewal date. We will charge your payment method on file at the start of each renewal term (or, for usage-based plans, at the end of each billing month as described above). It is your responsibility to ensure your payment information is accurate and up-to-date. If we cannot process your payment, we may suspend your access to paid features until payment is resolved.
  • Cancellation: You may cancel your paid subscription at any time via your account settings or by contacting our support. If you cancel, you will continue to have access to the paid features until the end of your current billing period, unless you request an earlier deactivation. For usage-based plans, cancellation will stop future billing cycles, but you remain responsible for any charges accrued through the date of cancellation; a final invoice will be issued at month-end reflecting usage up to that date. After cancellation, your subscription will not renew, and you will not be charged going forward. You may retain access to any free tier (if available) after your paid term ends.
  • Changes to Fees: Our subscription and usage-based fees are subject to change over time. We may increase or decrease fees, adjust usage rates, or add new paid features that have separate pricing. If we change pricing for your existing plan, we will give you reasonable advance notice (for example, by emailing the address associated with your account or through an in-app notification) and the new rates will apply at the start of your next billing cycle. If you do not agree to a pricing change, you may cancel your subscription before the new fees take effect. Continuing to use the Service after the price change goes into effect constitutes your agreement to pay the new amount.
  • Payment Processor: Payments are handled by a third-party payment processor. By paying for a subscription, you also agree to any applicable terms of the payment processor. We do not store your full credit card details on our servers; those are handled securely by the payment provider. However, we do store basic billing information and records of your transactions, including usage data for usage-based plans. All transactions are encrypted and secure.
  • Taxes: You are responsible for any taxes that apply to your use of the Service or purchase of subscriptions, including taxes on usage-based charges. If we are required to collect taxes (e.g., sales tax or VAT), we will add those to the charges, and they will be shown to you during the payment process.
  • Trials and Promotions: If you are on a free trial or promotional offer, any special terms of that offer will be explained at the time you sign up (for example, a discount for the first year, or X days free). After the trial or promotion period ends, your use of the Service will continue under the standard terms and fees unless you cancel.

8. Intellectual Property Rights

All rights, title, and interest in and to the ArchiBoost AI Service (excluding User Content provided by users) are and will remain the exclusive property of ArchiBoost and its licensors. This includes, but is not limited to, the software, algorithms and AI models, website design, architecture, text, graphics, logos, trademarks “ArchiBoost” and “ArchiBoost AI,” and all other elements of the Service (“ArchiBoost IP”). Our rights are protected by copyright, trademark, trade secret, and other intellectual property laws.

  • License to Use the Service: Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use ArchiBoost AI for your internal business purposes. This license is for the sole purpose of enabling you to use and receive the benefit of the Service as provided by us, in the manner permitted by these Terms. You may not use ArchiBoost IP for any other purpose without our prior written permission.
  • Restrictions: You agree not to copy, reproduce, modify, distribute, or create derivative works based on any part of the Service or ArchiBoost IP, unless we have expressly allowed it in writing. You shall not remove or alter any copyright, trademark, or other proprietary rights notices displayed in the Service or on any content provided by ArchiBoost.
  • Trademarks: “ArchiBoost,” “ArchiBoost AI,” and any associated logos or slogans are trademarks of ArchiBoost. You are not permitted to use these trademarks without our prior written consent. All other marks and logos not owned by us that appear in the Service (for example, names of building code publishers or third-party services) are the property of their respective owners and may be protected by applicable laws.
  • Feedback: We appreciate feedback, comments, and suggestions to improve ArchiBoost AI (“Feedback”). If you choose to provide Feedback, you agree that we are free to use it without any restriction or compensation to you. By submitting Feedback, you grant us a worldwide, perpetual, irrevocable, sublicensable, royalty-free license to use and incorporate your Feedback into our products or services.
  • Content Generated by AI: The answers and content generated by ArchiBoost AI in response to your queries are largely produced by our AI algorithms based on underlying data and models. To the extent that any AI-generated content is subject to copyright or other IP protection, we grant you a license to use the output for your personal or internal business purposes. However, note that code-related outputs may include excerpts or references from third-party codes or standards. We do not guarantee that AI-generated content is free of third-party intellectual property claims. You should use AI outputs in compliance with applicable law – for example, if the AI provides a snippet from a building code that is not in the public domain, your use of that snippet may be subject to fair use limitations or require permission from the publisher. We are not liable for how you use or share the content generated by the Service. If you plan to publish or share any substantial portion of content provided by ArchiBoost AI, you are responsible for ensuring that such use is lawful.

9. Disclaimers of Warranties

ArchiBoost AI is provided “AS IS” and “AS AVAILABLE.” While we strive to provide a high-quality service, we make no warranties or guarantees about the Service. To the fullest extent permitted by law, ArchiBoost disclaims all warranties, express or implied, regarding the Service and your use of it, including:

  • No Guarantee of Accuracy or Fitness: We do not warrant that the information or results you obtain from ArchiBoost AI will be accurate, reliable, complete, or up-to-date. We make no guarantee that using the Service will result in any particular outcome or compliance with any law or regulation. You assume all risk for the decisions you make based on information from the Service.
  • Implied Warranties: We expressly disclaim any implied warranties or conditions of merchantability, fitness for a particular purpose, and non-infringement. For example, we do not guarantee that ArchiBoost AI is suitable for your specific project or that it will catch every relevant code issue. We provide no warranty that any errors or defects in the Service will be corrected.
  • Availability and Error-Free Operation: We do not warrant that the Service will be available at all times, uninterrupted, or error-free. There may be times when the Service is unavailable due to maintenance, upgrades, network issues, or failures beyond our control. We will attempt to minimize disruptions, but we are not liable for any downtime. We also do not warrant that the Service will be free of viruses or other harmful components, though we take security precautions.
  • Third-Party Content: Any third-party content or links (such as references to external code sources, standards, or integration with other software) are provided for convenience. We do not endorse or assume any responsibility for any third-party websites, information, materials, products, or services. If the Service provides links or data from third parties, it is at your own risk to use them, and they may be governed by their own terms.
  • Beta Features: If we release features labeled as “beta,” “preview,” or “early access,” such features are still in testing and provided on an experimental basis. These beta features are provided “as is” without any warranties, and we especially do not guarantee their reliability or correctness. We welcome feedback on beta features but make no commitment that they will become permanent or fully functional.
  • No Professional Advice: You acknowledge that we are not licensed architects, engineers, or attorneys (unless specifically stated for certain content) and that ArchiBoost AI’s outputs do not constitute professional advice. Always exercise your own professional judgment and seek the advice of qualified professionals or officials when necessary. Any actions you take based on information from the Service are taken at your own discretion and risk.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not fully apply to you. In such cases, any implied warranties are limited to the minimum scope and duration permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will ArchiBoost or its affiliates, officers, employees, agents, partners, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages (including but not limited to lost profits, lost savings, lost business opportunities, loss of data, or business interruption) arising out of or in connection with your access to or use of (or inability to use) ArchiBoost AI and any content therein, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

In particular, we shall not be liable for:

  • Errors or Omissions: any errors, mistakes, or inaccuracies in the content provided by the Service;
  • Personal Injury or Property Damage: any personal injury or property damage resulting from your access to or use of the Service;
  • Unauthorized Access: any unauthorized access to or use of our servers and/or any personal information or data stored therein (though we commit to reasonable security, we cannot guarantee perfect protection);
  • Interruptions: any interruption or cessation of transmission to or from the Service;
  • Third-Party Conduct: the defamatory, offensive, or illegal conduct of any third party;
  • Outcome of Decisions: any decisions made or actions taken by you in reliance on the information or AI outputs from ArchiBoost AI (for example, any construction or design decisions, permit applications, or code compliance strategies).

Cap on Liability: To the extent any liability is found despite the above disclaimers, our total cumulative liability to you for any claims arising out of or relating to the Service or these Terms will not exceed the amount actually paid by you to ArchiBoost in the twelve (12) months immediately preceding the event giving rise to such liability (or, if no fees were paid, $100 USD). This limitation applies to all causes of action in the aggregate, without regard to whether the claim is based in contract, tort, strict liability, or any other legal theory.

Exceptions: Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not fully apply to you. In those jurisdictions, ArchiBoost’s liability will be limited to the greatest extent permitted by law. Additionally, nothing in these Terms is intended to exclude or limit liability that cannot be excluded under law – for example, we do not exclude liability for our own intentional unlawful conduct or for personal injury caused by our negligence to the extent mandated by law.

You acknowledge and agree that the limitations of liability and disclaimers in these Terms are a fundamental basis of the bargain and reflect a fair allocation of risk between you and ArchiBoost, and that without these limitations, the fees charged (if any) would be higher or the Service might not be provided.

11. Indemnification

You agree to indemnify, defend, and hold harmless ArchiBoost and its officers, directors, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) that arise out of or relate to:

  • Your Use of the Service: your activities in connection with ArchiBoost AI, including any use or misuse of the Service or content generated by the Service;
  • User Content: any User Content you submit, upload, or process through the Service, including claims that your content infringes or misappropriates any third-party rights or violates any law;
  • Violation of Terms: your violation of these Terms or of any law or regulation;
  • Violation of Rights: your violation of any rights of another party (including other users or any third parties).

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses. You agree not to settle any such matter without our prior written consent. This indemnification obligation will survive any termination of your account or of the Service.

12. Modifications to the Terms and the Service

  • Terms Updates: ArchiBoost may modify these Terms from time to time. If we make material changes, we will provide notice to you by posting the revised Terms on our website and updating the “Effective Date” at the top, and/or by sending an email to the address associated with your account. It is your responsibility to review the Terms periodically. Continued use of the Service after any changes to the Terms constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
  • Service Changes: We reserve the right to modify, suspend, or discontinue any part of the Service (including any feature or content) at any time, with or without notice. For example, we may decide to discontinue a beta feature, or we might change our AI model or sources of data. We may also impose limits on certain features or restrict access to parts or all of the Service without notice or liability. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuation of the Service. If a discontinuation or change materially affects your paid subscription, please contact us to discuss a prorated refund or alternative solution. Changes remain subject to any applicable notice requirements and other commitments in a separate written agreement signed by you and ArchiBoost.

13. Term and Termination

  • Term: These Terms remain in effect as long as you continue to access or use ArchiBoost AI, or until terminated as provided below. All provisions of these Terms which by their nature should survive termination shall survive (such as ownership, indemnification, disclaimers, and limitations of liability).
  • Your Right to Terminate: You may stop using the Service at any time. You may also delete your account at any time if you no longer wish to use ArchiBoost AI. Terminating your account will automatically end your license to use the Service and access to your data (so please back up any User Content you need before deleting your account).
  • Our Right to Terminate or Suspend: We may suspend or terminate your access to the Service (or terminate these Terms as they apply to you) at our discretion, for any reason or no reason, including but not limited to if: (a) you have violated these Terms or any policy incorporated herein; (b) we have to do so to comply with a legal requirement or court order; (c) we suspect fraud or misuse by your account; or (d) we decide to discontinue the Service. In most cases, we will attempt to provide notice to you (e.g., via email) if we suspend or terminate your account, but we may not be able to do so in all situations (for example, if you violate the Acceptable Use Policy in a way that requires immediate action).
  • Effect of Termination: Upon any termination of your account or these Terms: (a) your right to use the Service will immediately cease, and we may disable your account and access; (b) you will no longer have access to your content in the Service (so ensure you export needed data beforehand); (c) if termination was by your choice, we will handle any data deletion in accordance with Section 5 and our Privacy Policy. If we terminate your paid subscription for reasons not due to your breach of these Terms, we may provide a pro-rata refund for the remaining unused portion of your subscription. If termination is due to your breach of Terms or misuse of Service, you will not be entitled to any refund.
  • Survival: All provisions of these Terms that by their nature should survive termination (such as provisions on ownership, indemnification, warranty disclaimers, and limitations of liability) shall survive the termination of your access to the Service.

14. Governing Law and Dispute Resolution

  • Governing Law: These Terms and any dispute arising out of or related to them or the Service will be governed by the laws of the State of California, USA, without regard to its conflict of laws principles. However, we acknowledge that as a user, you may have certain consumer protection rights under the laws of your own state or country. Nothing in this section is meant to override any rights that cannot be waived under applicable law.
  • Jurisdiction and Venue: Except to the extent that arbitration is required (if we later include an arbitration clause) or prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service that is not resolved by informal negotiation or mediation shall be brought exclusively in the state or federal courts located in San Francisco County, California. You and ArchiBoost consent to the personal jurisdiction of such courts.
  • Waiver of Jury Trial and Class Actions: To the extent permitted by law, you and ArchiBoost each waive any right to a jury trial in any litigation. Further, to the extent permitted by law, you agree to waive any right to pursue disputes on a class-wide basis; you will only resolve disputes with us individually, and not as a plaintiff or class member in any class, consolidated, or representative action.
  • Injunctive Relief: Notwithstanding the above, you agree that a breach of certain sections of these Terms (such as misuse of our intellectual property or breaches of the Acceptable Use Policy) may result in irreparable harm to ArchiBoost for which monetary damages would be inadequate. In such cases, we may seek injunctive or equitable relief (e.g., a court order to stop you from doing something) in any court of competent jurisdiction, without the necessity of posting a bond or proving actual damages.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable terms for specific features, govern your use of the Service except to the extent covered by a separate written agreement signed by you and ArchiBoost. If you and ArchiBoost have entered into such an agreement, including a pilot agreement, nondisclosure agreement, order form, security exhibit, or service-level agreement, that agreement governs its subject matter and prevails over any conflicting provision of these Terms or the Privacy Policy. Any order of precedence expressly stated in the signed agreement controls. Updates to these Terms or the Privacy Policy do not amend or reduce obligations under a signed agreement unless the parties agree in accordance with that agreement’s amendment provisions. Except for such signed agreements, these Terms and the documents incorporated into them constitute the entire agreement concerning the Service and supersede prior understandings concerning the same subject matter. Additional or different terms proposed in a purchase order, email, or other communication do not apply unless expressly accepted in writing by an authorized representative of ArchiBoost.
  • Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver of any term of these Terms will be effective only if in writing and signed by an authorized representative of ArchiBoost.
  • Assignment: You may not assign or transfer these Terms (or any of your rights or obligations hereunder) without our prior written consent. Any attempt by you to assign without consent is void. We may assign these Terms freely to any successor or any purchaser of our business or assets, or to any affiliate, as part of a corporate transaction.
  • No Agency: No joint venture, partnership, employment, or agency relationship exists between you and ArchiBoost as a result of these Terms or your use of the Service. You do not have any authority to bind ArchiBoost in any respect.
  • Third-Party Beneficiaries: These Terms do not confer any rights or remedies on any third party, except that our affiliates, officers, employees, and agents are third-party beneficiaries of the limitations of liability and indemnification provisions in Sections 10 and 11.
  • Force Majeure: ArchiBoost will not be liable for any failure or delay in performance of its obligations (except payment obligations) due to causes beyond its reasonable control, such as strikes, riots, fires, natural disasters, war, terrorism, governmental action, labor conditions, power failures, internet or equipment failures, or other force majeure events.
  • Notices: We may provide you with notices, including those regarding changes to these Terms or matters related to your account, by email to the address associated with your account, through notifications within the Service, or by posting to our website. You consent to receive electronic communications from us for all purposes. If you need to give notice to us, you can do so by email to info@archiboost.ai (and we may request written confirmation to a postal address if needed for legal notice).
  • Headings: Section titles and headings in these Terms are for convenience only and have no legal or contractual effect.
